These General Terms and Conditions apply to programs of Stichting Leergang Sociaal Ondernemen, operating under the name We Shape the Future, including the Leergang Sociaal Ondernemen (LSO) and the Leergang Social Intrapreneurship (LSI), as well as the intensive Reshaping Your Future program.
These conditions apply to all offers, registrations and Agreements of WSTF, unless otherwise agreed in writing. Deviations are only valid if confirmed in writing. If a provision is invalid or unenforceable, the remaining provisions remain in force.
For some programs, a preliminary introduction, intake or admission procedure takes place. WSTF decides on admission taking into account, among other things, background, experience, development questions and the composition of the group.
After admission, the candidate receives the opportunity to confirm participation definitively. Before the final registration, WSTF provides information about the Program, the Program Fees, the Start Date and these General Terms and Conditions.
The Agreement is concluded when the participant and/or contracting party definitively confirms the registration in the manner indicated by WSTF. With this confirmation, the client declares that they have had the opportunity to read these General Terms and Conditions and agree to them. WSTF then confirms the registration in writing.
When an employer or other organisation registers the participant or pays the Program Fees, that organisation is treated as the Client, unless otherwise agreed in writing.
Some programs are offered in collaboration with a university, knowledge institution or other partner. Participation may also require a separate administrative registration with that partner.
For programs in collaboration with Utrecht University, for example, registration in Osiris may be required. This registration is intended for university administration, access to relevant facilities and/or certification.
Such partner registration is separate from the Agreement with WSTF. The Agreement with WSTF is concluded in accordance with Article 2. The participant is responsible for providing the information the partner needs for its own registration in time.
The Program Fees and what they include are stated in the program information, registration form and/or confirmation. Amounts are exclusive of VAT unless otherwise stated. If no VAT is due under tax legislation, no VAT is charged.
A granted scholarship, contribution or discount is stated separately, including where relevant the original program amount and the amount to be invoiced.
WSTF invoices after the final registration. The payment term is 30 days unless otherwise agreed in writing. WSTF may require payment to be received before the Start Date.
In the event of late payment, the Client first receives a reasonable opportunity to pay. After that, statutory interest and legally permitted collection costs may be charged. WSTF may refuse services and/or certification until payment has been received in full.
When a third party would pay the Program Fees, the Client remains responsible for payment as long as WSTF has not confirmed otherwise in writing.
When a consumer enters into an Agreement with WSTF at a distance, a withdrawal period of 14 calendar days applies, insofar as this is legally required, starting on the date on which the Agreement is concluded.
Withdrawal may be communicated within this period without giving reasons, either clearly in writing or by e-mail to WSTF. WSTF will refund amounts received within the statutory period.
If the consumer explicitly requests to start receiving the service within the withdrawal period, a proportional fee may be due for services already provided, to the extent permitted by law.
After any statutory withdrawal period has expired, a final registration may be cancelled in writing by e-mail.

These percentages are maximum reimbursements and not automatically due penalties. WSTF takes circumstances, work already performed, costs incurred and the possibility of filling the vacated place with another participant into account when determining any cancellation costs.
When the vacated place is filled and WSTF therefore incurs no or less financial loss, this is taken into account when determining cancellation costs. On request, WSTF will explain the calculation.
A participant may request before the Start Date that their place be taken by another participant. WSTF assesses whether the proposed participant fits the program, the admission criteria and the composition of the group. Replacement is only definitive after written approval from WSTF.
If a new intake, preparation or other additional work is required for the replacement participant, reasonable costs may be charged.
In special cases, WSTF may allow participation to be postponed to a following edition. This is not an automatic right and depends, among other things, on availability, suitability for the relevant edition and the circumstances.
When a participant terminates participation early after the Start Date, WSTF may charge a reasonable fee for program components already provided, preparation, coaching, reserved capacity and other reasonably incurred costs or financial loss. A reasonable fee may be a cost calculation based on direct costs.
When determining this fee, account is taken of the nature and duration of the Program, the time of termination, services already delivered and costs WSTF can still avoid. The fee is never higher than the total agreed Program Fees. If mandatory law prescribes a lower fee, that lower fee applies.
A program component is deemed to have been offered when WSTF has made it available in accordance with the Program, even if the participant chooses not to attend.
In the event of serious or unforeseen personal circumstances, WSTF asks the participant to contact us as soon as possible. In that case, WSTF looks for a reasonable and appropriate solution.
Depending on the situation, it may be decided, for example, to reduce or waive cancellation costs in whole or in part, allow a replacement participant or postpone participation to a following edition.
When additional information is needed to assess an appropriate solution, WSTF asks only for information that is reasonably necessary for that purpose.
WSTF delivers the Program with professional care. WSTF may make reasonable changes to dates, locations, teachers, order or working methods when the nature, scope and quality of the Program are essentially maintained.
WSTF may replace a teacher or coach or move a component. If there are insufficient participants, illness, force majeure or other circumstances beyond reasonable influence of WSTF, a Program may be postponed or cancelled.
When WSTF cancels the full Program and no suitable alternative is offered or accepted, the Program Fees already paid will be refunded. A reasonable adjustment that preserves a content-equivalent Program does not by itself give rise to a right to restitution.
The Program assumes active participation, preparation and exchange with the group. Reasonable attendance and preparation are expected from participants.
When a participant cannot attend a session, they should notify WSTF as soon as possible. Missing a component does not automatically entitle the participant to a refund, replacement or participation in the same component in another edition. WSTF may offer an alternative, but is not required to do so.
WSTF aims to create a professional, respectful and safe learning environment. Participants are expected to behave in a manner consistent with this.
In the case of serious or repeated threatening, discriminatory, aggressive, fraudulent or otherwise disruptive behaviour, WSTF may temporarily suspend or terminate participation. Where reasonably possible, the situation is first discussed with the participant involved.
Within Programs, personal, business or strategically sensitive information may be shared. Participants treat personal and business confidential information of others confidentially.
General insights and learning experiences may be used, but confidential or identifiable cases may not be shared without permission. This obligation also continues after the Program ends. WSTF also handles confidential information with care.
The intellectual property rights to Materials rest with WSTF and/or the relevant rights holder. Materials are intended for personal professional and educational use.
Without prior permission, Materials may not be published, sold, commercially exploited, distributed or made available to third parties. Participants retain rights to their own materials, business concepts, plans and other intellectual property.
Participants do not make audio, video or other recordings of meetings without permission from WSTF and, where relevant, the participants involved.
When WSTF wishes to make recordings during a Program for communication, education or promotional purposes, participants are informed about this. Where consent is legally required, it is requested separately.
WSTF processes personal data in accordance with the GDPR and applicable Dutch privacy legislation. WSTF only processes data that is reasonably necessary for, among other things, registration, admission, delivery, administration, invoicing, communication and cooperation with program partners.
A partner organisation may directly request additional data from the participant for its own administration. More information is included in the WSTF Privacy Statement.
WSTF delivers Programs with reasonable professional care, guaranteeing that the Program is delivered in accordance with its description with professional teachers, but does not guarantee any specific personal, professional, commercial, financial or organisational result.
To the extent permitted by law, WSTF is not liable for indirect or consequential damage, including lost profits, turnover, opportunities or savings. Liability for direct damage is, to the extent permitted by law, limited to the amount of the Program Fees paid or owed for the Program concerned.
These limitations do not apply insofar as mandatory law does not allow exclusion or limitation of liability.
A complaint should preferably be reported as soon as possible during the Program so that WSTF has the opportunity to seek a solution. A formal complaint may be submitted in writing or by e-mail.
WSTF acknowledges receipt and provides a substantive response within a reasonable period. The parties first try to resolve the dispute through mutual agreement.
The version of the General Terms and Conditions that applied at the time the Agreement was concluded applies to the Agreement. WSTF may amend the terms for future Agreements.
New conditions are not automatically applicable to an existing Agreement, unless the Client agrees or the law allows this.
Dutch law applies to the Agreement. The parties first try to resolve a dispute through mutual agreement. If this is not possible, the dispute is submitted to the court competent under Dutch law.
